Terms of Service

These Terms govern B2B access to LiveFeed API. The supplier and contracting entity is GDA TRUST Ltd., 11 Cherni vrah Blvd, 1421 Sofia, Bulgaria, VAT BG206736228, at marketing@gda-trust.com.

1. Contract and applicable documents

The contract is formed when the Customer accepts these Terms and GDA TRUST Ltd. confirms the account, or when the parties execute an order or proposal. The order defines the plan, modules, sports, markets, limits, price and term. In a conflict, the following prevail: the DPA for personal data; the signed order and its SLA; these Terms; technical documentation.

2. Accounts, credentials and end customers

The Customer must provide accurate information, keep administrative contacts current and protect passwords, API keys and integration credentials. Each end customer, installation or domain must use its assigned credentials. Sharing, resale or sublicensing is allowed only under an authorised reseller plan or written permission. Suspected compromise or unauthorised access must be reported without delay.

3. Free trial

The trial lasts up to 14 days unless stated otherwise and may limit traffic, coverage, history, sports or modules. Normally one trial is allowed per organisation. GDA TRUST Ltd. may suspend abusive use, false registrations, security risks or unauthorised production use. A trial does not become paid without a completed checkout or confirmed order.

4. Services and changes

Only features enabled in the portal and listed in the order are included. GDA TRUST Ltd. may update connectors, compatible formats, infrastructure and providers without materially reducing the purchased service. Material changes receive reasonable notice, except for urgent security, legal or source-availability events.

5. Licence and permitted use

During the contract, the Customer receives a limited, non-exclusive, non-transferable and revocable licence to integrate and display data in authorised products. The Customer must not:

6. Odds, states, results and operational responsibility

Coverage, latency, mappings, odds, indicative liquidity, results and markets may vary by sport, event and source. The Customer must handle SUSPENDED, CLOSED, PENDING, corrections and timestamps under the documentation and maintain independent checks before accepting economic transactions. An event result does not automatically settle every special market.

LiveFeed API supplies data and technical tools, not a gambling licence, bet-acceptance service or regulatory advice. The Customer is responsible for licences, settlement rules, risk limits, bet validation and compliance in each operating territory.

7. Charges, tax, renewal and payment

Price, currency, tax, billing cycle and renewal are shown at checkout or in the order. Recurring subscriptions renew for equal periods until cancelled before renewal through the portal or written notice. Stripe processes payments. Unless the order or mandatory law provides otherwise, accrued fees are non-refundable. The Customer bears applicable tax, withholding and banking costs.

Overdue payment may lead to restriction or suspension after notice. Reactivation may require full payment of arrears.

8. Intellectual property and feedback

LiveFeed API software, documentation, normalisations, models, interfaces, marks and components remain owned by GDA TRUST Ltd. or its licensors. The Customer retains rights in its own data and settings. Feedback may be used to improve the service without disclosing Customer confidential information.

9. Confidentiality and data protection

Each party protects the other's confidential information with reasonable care and uses it only for the contract. Disclosure is limited to personnel and providers with a need to know and confidentiality duties. The Privacy Policy describes controller processing; the DPA applies when GDA TRUST Ltd. acts on the Customer's behalf.

10. Availability, support and warranties

Guaranteed service levels apply only under a signed SLA. Without one, public uptime and response-time figures are informational objectives. The service is supplied with reasonable professional skill, but uninterrupted availability, complete absence of error, universal coverage and permanent availability of any source or market are not guaranteed.

11. Suspension and termination

GDA TRUST Ltd. may suspend what is necessary for non-payment, abuse, security risk, contractual breach, legal duty or infrastructure protection. Where reasonable, the Customer receives notice and an opportunity to cure. On termination, credentials are revoked and feed use must stop. Payment, ownership, confidentiality, liability and governing-law provisions survive.

12. Liability

To the extent permitted by law, neither party is liable for indirect loss or loss of profit, revenue, goodwill or opportunity. GDA TRUST Ltd.'s total liability connected with the service is capped at fees paid by the Customer in the 12 months before the event giving rise to the claim. The cap does not apply to wilful misconduct, fraud, death or personal injury, deliberate confidentiality breach, or liability that law does not allow to be limited.

The Customer is responsible for its integrations, trading decisions, payments to users, unauthorised use and regulatory breaches. Each party must take reasonable steps to mitigate loss.

13. Force majeure

Neither party is liable for delay caused by events outside reasonable control, including widespread network failure, attacks, provider outages, natural events, conflict and government action. The affected party will provide notice and restore performance as soon as reasonably possible.

14. Changes to these Terms

Material changes receive at least 30 days' notice through the portal or email, except where law or security requires otherwise. A Customer that rejects a materially adverse change may prevent renewal before it takes effect. The accepted version is recorded in the account.

15. Law, jurisdiction and notices

The contract is governed by Bulgarian law, excluding conflict-of-law rules. B2B disputes are subject to the exclusive jurisdiction of the competent courts of Sofia, Bulgaria. Contract notices may be sent to account contacts and marketing@gda-trust.com.

If a provision is unenforceable, the remainder continues. Delay in enforcement is not a waiver. The Customer may not assign without written consent; GDA TRUST Ltd. may assign as part of a reorganisation, business sale or product transfer on notice.
